ESTATE PLANNING. To help meet the widespread need, Mr. Cifelli's basic estate plan service is reasonably priced and includes a will, a health care power of attorney, a general property power of attorney, a living will, a personal property memorandum, funeral and burial directives, a beneficiary deed when desired, and a review of asset titles and beneficiary designations. Basic estate plans are fine, and a good first step. But the documents are not operative until you die or are incapacitated. And court involvement then often required. That is why even individuals with modest assets benefit from creating and funding a grantor revocable living trust. Advanced estate plans involve more complex non-grantor and a variety of irrevocable trusts. Advanced estate plans incorporate asset ownership in entity layers to improve asset management and incorporate privacy, asset protection and tax planning.
BUSINESS AND GENERAL COUNSEL SERVICES. Mr. Cifelli's career focus has been business client engagements involving complex transactional work for high net worth entrepreneurs. He particularly enjoys assisting investor backed technology ventures where he has served as interim Chief Legal Officer and Chief Financial Officer handling a wide variety of tasks including investment offerings, investor reporting and investor exit transactions. His experience spans all manner of business formations, branding research, intellectual property creation and protection, corporate finance, private and public offerings, other investment banking transactions, mergers and acquisitions, licensing arrangements, risk management strategies, regulatory compliance, tax planning and international strategic transactions.
REAL ESTATE. Mr. Cifelli's real estate experience is also extensive, spanning purchase and sales, investment syndications, land splits, rezoning, commercial leases, landlord representation, development incentive negotiations, special use permitting, environmental remediation and construction project management. Mr. Cifelli was also a real estate broker in Illinois and Arizona during his career and served as broker of record for a commercial developer.
